3. Client Responsibilities

Clients are responsible for providing all requested financial documents, records, and supporting materials in a timely manner.

3.3 Cooperation

Clients must cooperate fully with our audit team and provide reasonable access to personnel, records, and facilities as required.

4. Payment Terms

4.1 Fees

Service fees are outlined in our service proposals and must be agreed upon before work begins. All prices are in Canadian dollars.

4.2 Payment Schedule

Payment terms are typically 50% upon engagement and 50% upon completion, unless otherwise agreed in writing.

4.3 Late Payments

Late payments may incur interest charges of 1.5% per month or the maximum allowed by law, whichever is less.

5. Confidentiality

We maintain strict confidentiality regarding all client information and audit findings. Our confidentiality obligations are outlined in separate professional engagement letters and comply with Canadian professional standards.

6. Professional Standards

Our services are performed in accordance with Canadian generally accepted auditing standards (GAAS) and applicable professional regulations. We maintain professional liability insurance and adhere to continuing education requirements.

7. Limitation of Liability

To the maximum extent permitted by law, our liability for any claims related to our services is limited to the fees paid for the specific service giving rise to the claim. We are not liable for indirect, consequential, or punitive damages.

8. Service Delivery

8.1 Timelines

We provide estimated timelines for service completion. Actual delivery may vary based on client cooperation and complexity of the engagement.

8.2 Force Majeure

We are not liable for delays caused by circumstances beyond our reasonable control, including natural disasters, government actions, or technological failures.

9. Intellectual Property

All methodologies, templates, and proprietary processes used in our services remain our intellectual property. Audit reports and recommendations become client property upon full payment.

10. Termination

10.1 Client Termination

Clients may terminate services with written notice. Fees for work completed to the termination date remain due.

10.2 Company Termination

We may terminate services for non-payment, client non-cooperation, or other material breach of these Terms.

11. Dispute Resolution

Any disputes arising from these Terms or our services will be resolved through binding arbitration in Toronto, Ontario, in accordance with the Arbitration Act of Ontario.

12. Professional Independence

We maintain professional independence as required by Canadian auditing standards. We do not provide services that would compromise our objectivity or professional judgment.

13. Compliance with Laws

Both parties agree to comply with all applicable Canadian federal and provincial laws, regulations, and professional standards governing financial services and business operations.

14. Modifications

These Terms may be modified only by written agreement signed by both parties. Website updates to these Terms will be posted with an updated effective date.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

16. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
